Welcome to Moodo!

These Terms and Conditions ("Terms", "Agreement") govern your access to and use of the Moodo mobile application (the "App") and any related services offered by ShenZhen ZhiLin Co., Ltd. ("we," "us," or "our").

Please read these Terms carefully before using Moodo. By downloading, accessing, or using Moodo, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use Moodo.

IMPORTANT NOTICE REGARDING ARBITRATION: SECTION 13 OF THESE TERMS CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER. IT AFFECTS HOW DISPUTES ARE RESOLVED.

1. Medical and Mental Health Disclaimer

Moodo is designed to provide tools for mood tracking, daily journaling, and visual AI representations to help you understand your emotional patterns. However, WE ARE NOT A HEALTHCARE OR MENTAL HEALTH PROVIDER.

• Not Medical Advice: Moodo, including its AI chat feature and mood analysis, is for informational, self-care, and personal development purposes only. It is not a substitute for professional medical advice, diagnosis, therapy, or treatment.
• No Professional Relationship: Use of Moodo does not establish a doctor-patient or therapist-client relationship.
• Emergencies: If you are experiencing a medical or mental health emergency, experiencing suicidal thoughts, or are in crisis, please stop using Moodo and contact your local emergency services or a crisis hotline immediately.

2. Eligibility

You must be at least 13 years of age (or 16 in the European Economic Area) to use this App. To purchase a subscription, you must be at least 18 years of age and capable of entering into a binding contract. By using Moodo, you represent and warrant that you meet these eligibility requirements and that you will comply with all applicable local, state, national, and international laws.

3. Account Registration and Security

To utilize certain features, such as saving your historical mood results to the cloud and syncing across devices, you must create an account.

• Login Methods: You may register and log in using your Google account, Apple account ("Sign in with Apple"), phone number, or email address.
• Account Security: You are strictly responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately if you suspect any unauthorized use of your account.
• Account Deletion (if any): You have the absolute right to delete your account and all associated data at any time directly within Moodo by navigating to Settings > Account > Delete Account.

4. Artificial Intelligence (AI) Features

Our App utilizes advanced Artificial Intelligence (AI) models to provide unique features, including AI-generated visual cards based on your mood, and an AI chat function for mood analysis.

• AI Visual Cards: You may use Moodo to generate various styles of AI cards reflecting your daily mood. You are permitted to read, download, and share these cards for your personal, non-commercial use.
• AI Chat & Analysis: The AI chat is designed to offer reflective feedback and visual representations. However, AI is an automated technology and may occasionally generate inaccurate, unexpected, or irrelevant responses. You understand that the AI's "analysis" or "judgment" is generated by algorithms, not human mental health professionals.
• Acceptable Use of AI: You agree not to input prompts or journal entries intended to exploit, bypass, or harm the AI system, or to generate content that is illegal, highly explicit, or promotes self-harm.

5. Fees, Subscriptions, and Billing

Moodo offers premium features through auto-renewing subscriptions managed via the Apple App Store.

• Automatic Renewal: IF YOU PURCHASE A SUBSCRIPTION, IT WILL AUTOMATICALLY RENEW AT THE END OF THE CURRENT BILLING PERIOD AT THE THEN-CURRENT PRICE, UNLESS YOU CANCEL AT LEAST 24 HOURS BEFORE THE END OF THE CURRENT PERIOD.
• Managing Subscriptions & Cancellation: You can manage or cancel your subscription at any time through your Apple ID Account Settings. Deleting Moodo or deleting your account does NOT automatically cancel your subscription.
• Free Trials: If you sign up for a free trial, your Apple account will be charged immediately at the end of the trial period unless you cancel at least 24 hours prior to the end of the trial.
• Refunds: All billing and refund inquiries must be handled by Apple, as we do not directly process your payments. Except where required by law, all fees are non-refundable.

6. User Content and License

• Your Ownership: You retain full ownership of the data you input into Moodo, including your mood records, triggers, journal entries, and the resulting AI-generated cards saved to your device (collectively, "User Content").
• License to Us: By using Moodo, you grant us a secure, limited, worldwide, non-exclusive license to host, store, and process your User Content solely for the purpose of operating Moodo, syncing your data to the cloud, and providing you with the requested AI features.

7. Scope of License and Restrictions

We grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use Moodo for personal, non-commercial purposes. You agree NOT to:

• Copy, modify, reverse engineer, decompile, or disassemble Moodo or its underlying AI technologies.
• Use Moodo in any manner that could disable, overburden, or impair the Service.
• Use Moodo to build a competitive product or service.

8. Intellectual Property Rights

All intellectual property rights in Moodo, including but not limited to its software, design, user interface, AI prompt frameworks, branding, and text, are owned by us or our licensors. You may not use our intellectual property without our prior written consent.

9. Third-Party Platforms and Beneficiaries

• App Stores: If you download Moodo from the Apple App Store, you acknowledge that these Terms are between you and us, not Apple. However, Apple is third-party beneficiaries of these Terms and have the right to enforce them against you.
• Third-Party Services: Moodo relies on third-party cloud and AI providers. We are not liable for temporary service interruptions caused by these third-party integrations.

10. Disclaimer of Warranties

MOODO IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT MOODO WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, NOR DO WE GUARANTEE ANY SPECIFIC MENTAL HEALTH OUTCOMES OR IMPROVEMENTS FROM USING MOODO.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL US, OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR EMOTIONAL DISTRESS ARISING OUT OF YOUR USE OR INABILITY TO USE MOODO. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless us and our affiliates from any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (i) your use of and access to Moodo; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including any copyright or privacy right.

13. Dispute Resolution and Binding Arbitration

• Arbitration Agreement: Any dispute arising out of or relating to these Terms or Moodo shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Nevada, United States.
• Class Action Waiver: YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
• Opt-Out: You may opt-out of this arbitration agreement by notifying us in writing within 30 days of first accepting these terms.

14. Termination

• Termination by You: You may terminate this Agreement at any time by deleting your account through Moodo's settings and uninstalling Moodo.
• Termination by Us: We reserve the right to suspend or terminate your access to Moodo at any time, without notice, if you breach these Terms or engage in illegal or harmful conduct.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date and providing a notice within Moodo. Your continued use of Moodo after any changes indicates your acceptance of the new Terms.
