These Terms and Conditions ("Terms", "Agreement") govern your access to and use of the Moodo mobile application (the "App") and any related services offered by ShenZhen ZhiLin Co., Ltd. ("we," "us," or "our").

Please read these Terms carefully before using Moodo. By downloading, accessing, or using Moodo, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use Moodo.

IMPORTANT NOTICE REGARDING ARBITRATION: SECTION 13 OF THESE TERMS CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER. IT AFFECTS HOW DISPUTES ARE RESOLVED.

Moodo is designed to provide tools for mood tracking, daily journaling, and visual AI representations to help you understand your emotional patterns. However, WE ARE NOT A HEALTHCARE OR MENTAL HEALTH PROVIDER.

2. Eligibility

You must be at least 13 years of age (or 16 in the European Economic Area) to use this App. To purchase a subscription, you must be at least 18 years of age and capable of entering into a binding contract. By using Moodo, you represent and warrant that you meet these eligibility requirements and that you will comply with all applicable local, state, national, and international laws.

To utilize certain features, such as saving your historical mood results to the cloud and syncing across devices, you must create an account.

4. Artificial Intelligence (AI) Features

Our App utilizes advanced Artificial Intelligence (AI) models to provide unique features, including AI-generated visual cards based on your mood, and an AI chat function for mood analysis.

5. Fees, Subscriptions, and Billing

Moodo offers premium features through auto-renewing subscriptions managed via the Apple App Store.

All intellectual property rights in Moodo, including but not limited to its software, design, user interface, AI prompt frameworks, branding, and text, are owned by us or our licensors. You may not use our intellectual property without our prior written consent.

MOODO IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT MOODO WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, NOR DO WE GUARANTEE ANY SPECIFIC MENTAL HEALTH OUTCOMES OR IMPROVEMENTS FROM USING MOODO.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL US, OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR EMOTIONAL DISTRESS ARISING OUT OF YOUR USE OR INABILITY TO USE MOODO. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless us and our affiliates from any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (i) your use of and access to Moodo; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including any copyright or privacy right.
